Establishing a corporate group can pose significant challenges that are needed to contemplate economic and management capabilities for efficiency. Major corporations such as Carso, Femsa, and Grupo México have maintained a strong market presence not only due to their popular brands but also through the implementation of innovative business strategies for optimal operation.

Recently, Grupo Alfa S.A.B. de C.V., another Mexican corporate group that has established a strong position in the market, has decided to approve a proposal within the Shareholders' Meeting to divide its equity interest in Alpek S.A.B. de C.V. Previously, Alfa corporate group was structured through its participation in two major leading companies: Sigma Alimentos, in which it held 100% of the shares, and Alpek Petroquímicos, where until recently it held an 82% stake.

By making this decision, Alfa has chosen not only to divest its shares in Alpek but also to create a new entity intended to be listed on the Stock Market, named Controladora Alpek, S.A.B. de C.V. This new entity will receive the entirety of the shares previously held in Alpek, and each Alfa shareholder will be granted shares in Controladora Alpek.

Among the reasons for approving this process is the desire to focus on the other company, specifically Sigma Alimentos. Sigma has experienced growth both nationally and internationally, which requires prioritized attention for the development of its corporate purpose, which encompasses the distribution, processing, and marketing of food products.

This assembly resolution may pose challenges for both Alfa and Alpek; however, such matters in a Commercial Entity require extensive planning and discussion among shareholders. Dividing a company requires a thorough analysis of potential benefits or risks. In this case, the total concentration on one of its more profitable companies appears to be a strategic decision aimed at sustaining the significant positioning Sigma has achieved thus far.
